License to Use a Creative Eye Logo Graphical Link

The following constitute the terms under which Creative Eye (CE) licenses the use of any of the "Creative Eye Logo Graphical Links" to any business entity or other copyright rightsholder who decides to use it on a webpage ("you"). A "Creative Eye Logo Graphical Link" is defined as any visual representation of the Creative Eye logo, created by Creative Eye and made available to you. This license is provided on a non-exclusive, non-transferable basis.

1. Initial Notification to Creative Eye. You must complete the online "registration" form indicating your intention to use one of the Creative Eye Logo Graphical Links. This form will appear after you click the "Accept Terms" button.

2. Ways You May, and May Not, Use a Creative Eye Logo Graphical Link (including limitations on resizing, recoloring and other proposed changes). You may use any one or more of the Creative Eye Logo Graphical Links, but only as a marker for a web link to Creative Eye. You may not alter the visual representation of a Creative Eye Logo Graphical Link (except as provided in this paragraph) nor may you create your own Creative Eye Logo Graphical Link. You may increase (but not decrease) the overall size of a Creative Eye Logo Graphical Link (although, for your convenience, Creative Eye offers the Creative Eye Logo Graphical Link in a variety of sizes). You may not alter the spatial relationships among, or the relative sizes of, the elements of a Creative Eye Logo Graphical Link. You may not alter the color of a Creative Eye Logo Graphical Link except upon the express agreement of CE, which agreement is in CE's sole discretion based on our business needs.

3. Fair Treatment of the Creative Eye Logo Graphical Links. If you use a Creative Eye Logo Graphical Link adjacent to a similar representation linking to a website of any other provider of an online stock image service, the representation of the Creative Eye Logo Graphical Link must be no less than equal in size, position and prominence to the way in which you use the other provider's representation. Further, you agree not to use a Creative Eye Logo Graphical Link in any way that may negatively affect CE or harm the value of any Creative Eye trademark, and you agree not to use any Creative Eye Logo Graphical Link in any way not authorized by CE.

4. Required Approval by CE of Your Use. You must notify CE of EACH TIME that you actually post a Creative Eye Logo Graphical Link on any webpage that is publicly accessible so that CE may see the use in full context. You may do so by e-mailing to CE a copy of the HTML page or by e-mailing to CE a URL or web link to the actual page where the Creative Eye Logo Graphical Link is in use. E-mails under this paragraph should be addressed to mira@mira.com. CE retains the right to object to any use of a Creative Eye Logo Graphical Link within ten (10) business days of receiving your notice of the use (although CE does not expect to object to any reasonable use within the terms of this license) and you agree to remove the Creative Eye Logo Graphical Link or revise your use thereof within one week after notice of objection from CE. (Please Note: If you prefer, you may send a copy of the HTML page incorporating the Creative Eye Logo Graphical Link PRIOR TO your use in order to obtain CE's prior approval. Please use the same e-mail address.)

5. Acknowledgment by You That the Creative Eye Logo Graphical Links Are CE's Property. You acknowledge that each of the Creative Eye Logo Graphical Links, as well as any embedded CE logos or names, are trademarks or registered trademarks of CE, and that neither this license, nor any use that you might make of any Creative Eye Logo Graphical Link or other CE trademark, gives you any rights therein other than as stated in this license.

6. Your Agreement to Cooperate Reasonably with CE. You agree to cooperate with CE in its efforts to protect its rights to the Creative Eye Logo Graphical Links, both by complying with the terms of this license and by providing information reasonably requested by CE.

7. Beginning and End of the License. This license is effective upon your indication of assent (by your reproducing or posting on the web of any of the Creative Eye Logo Graphical Links). This license shall remain in effect until terminated (i) by you, by notice to CE that you have ceased all use of any Creative Eye Logo Graphical Link without intention to resume use; (ii) by CE, immediately upon notice to you by CE that you have breached this license; or (iii) by CE, upon sixty (60) days' notice to you. On or before the effective date of any such termination, you, and any other person under your control or direction, will cease all use of the Creative Eye Logo Graphical Link; any use thereafter will constitute infringement of CE's rights, subjecting you to all remedies available under the law.
